Overwhelm counters the PDR your enemies get from Armor and other sources. It can never push your enemy's physical resistance past zero, like elemental penetration can.

Overwhelm cancels some of your enemy's physical resistance (generally their armour) but it cannot go below zero. It is therefore good to have some but too much is wasted.
